THE TERMS AND CONDITIONS OF THIS LICENCE AGREEMENT ( the “Licence”) SHOULD BE READ CAREFULLY BEFORE DONWLOADING THE ATTACHED ANIMATION (“Licensed Materials”) . BY DOWNLOADING THE LICENSED MATERIALS YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENCE. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENCE DO NOT DONWLOAD THE LICENSED MATERIALS. 1. Licence. The University of Sydney (‘the University’) grants to you (whether an individual, company, association or other legal entity) a non-exclusive, non-transferable, non-sublicensable, worldwide right to download, view and display (for the purposes of this Licence “use”) the Licensed Material, free of cost for non-commercial and not for profit purposes only. All copies, modifications, enhancements and distributions of the Licensed Materials on any media are subject to the terms and conditions of this Licence. If commercial use of the Licensed Materials is intended you must contact the University of Sydney to obtain a commercial licence which may entail a set of separate terms and conditions including a licence fee. 2. Restrictions. You must not: (a) sublicense, sell, assign, convey or transfer this Licence or any rights under this Licence or any end product containing the Licensed Materials; (b) use or display the Licensed Materials on websites or in any other medium designed to induce or involve the sale or licence of the Licensed Materials; (c) modify, adapt, translate, transmit (via the internet or any other form), or create derivative works based on the Licensed Materials or part thereof; or (d) transmit the Licensed Materials (whether in whole or part), over a network or from one computer to another. Failure to adhere to these restrictions is a serious breach of the licence conditions and will entitle the University to terminate this Licence without prior notice. 3. Termination. You agree that if any term or condition of this Licence is breached then the Licence shall terminate automatically. The University reserves the right to terminate this Licence by notice in writing to you. Upon a breach or written notice of termination you shall (a) stop using the Licensed Materials; (b) destroy the Licensed Materials; and (c) delete and remove the Licensed Materials from your premises, computer systems and storage (electronic and physical). 4. Exclusion of Warranties. The Licensed Materials are supplied “as is” and to the extent permitted by any Federal or State Laws, all warranties including any express or implied warranties of merchantability or of fitness for a particular purpose are hereby excluded. The University shall not be liable in contract, tort or otherwise to you for any damages (including any special, indirect or consequential damages) arising out of the Licensed Materials. The University is not available to answer any questions in relation to the Licensed Materials or provide any support whatsoever. 5. Statutory Terms. Where any statute implies in this Licence any term, and that statute voids or prohibits provisions under a contract which exclude or modify the operation of such term, such term is deemed to be included in this Licence. 6. Indemnity. You shall indemnify the University against all actions, claims, costs, and expenses which may be brought or claimed against the University by reason or in any way arising from your use of the Licensed Materials. 7. General. This Licence is governed by the law in force in New South Wales. Each party submits to the non-exclusive jurisdiction of the courts of that place. If any part of this Licence is or later becomes unenforceable, then: (a) those unenforceable terms shall be deleted from this Licence, to the extent that they are unenforceable; and (b) the remaining terms of this Licence shall continue in full force and effect. 8 Survival. The provisions of clauses 4, 5 and 6 of this Licence shall survive termination. 9. Copyright and Acknowledgement. No ownership or copyright in the Licensed Materials shall pass to you by the issuance of this Licence. You must acknowledge the University of Sydney through its ARC Centre of Excellence - Ultrahigh-bandwidth Devices for Optical Systems, School of Physics as the exclusive Licensor of the Licensed Materials. © 2007 The University of Sydney.
